Section 1 – General Conditions

Market Guitar Inc. (“Market Guitar”, “we”, “us”, or “our”) operates the Market Guitar platform, including its website, web and mobile applications, and related features, tools, content, and services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

The Service is provided as a self-directed educational tool and does not provide investment, financial, legal, tax, or accounting advice. The Service allows users to input their own assumptions and generate financial models and analyses. You are solely responsible for your use of the Service and any decisions made based on its outputs.

Nothing in these Terms or in your use of the Service creates any fiduciary, advisory, agency, or similar relationship between you and Market Guitar.

We may modify, update, suspend, or discontinue the Service at any time, including adding or removing features.

We reserve the right to update these Terms at any time. Where we make material changes, we will endeavour to notify you in advance. Your continued use of the Service following any update to these Terms constitutes your acceptance of the revised Terms.

You represent that you are at least the age of majority in your jurisdiction of residence.

You agree to use the Service only for lawful purposes and in compliance with applicable laws. The Service and its content are protected by intellectual property laws. You may not reproduce, duplicate, copy, sell, resell, distribute, or exploit any portion of the Service without prior written consent.

You must not attempt to reverse engineer, decompile, or otherwise access the source code or proprietary components of the Service.

You must not transmit viruses, worms, malicious code, or any other destructive technology through the Service.

We reserve the right to refuse or suspend access to the Service to any person at any time for any reason.

Your information may be transmitted across networks and adapted to technical requirements necessary for operation of the Service. Payment information, if applicable, is encrypted during transmission.

Headings are included for convenience only and do not affect the interpretation of these Terms.

Section 2 – Use of Information

The content, tools, calculations, and outputs provided through the Service are intended solely for educational and informational purposes. The Service is not a source of investment recommendations or personalized financial advice. You are solely responsible for your investment decisions, and Market Guitar will not consider your financial situation, investment knowledge, investment objectives, savings objectives, or risk tolerance when you use our Service.

All outputs generated by the Service, including valuation models, discounted cash flow calculations, intrinsic value estimates, projections, and financial analyses, are illustrative in nature and based entirely on user-provided assumptions and inputs. They do not represent actual investment results or predictions of future performance.

The Service does not provide recommendations to buy, sell, or hold any security or to pursue any particular investment or financial strategy.

You are solely responsible for evaluating the accuracy, completeness, and suitability of any inputs, assumptions, calculations, or outputs generated through the Service.

Before making financial decisions, you should consult a qualified professional who is familiar with your individual circumstances.

We do not guarantee that the Service, or any information or outputs generated through it, will be accurate, complete, reliable, current, or suitable for any particular purpose. Any reliance on the Service is at your own risk.

Market Guitar expressly disclaims liability for any errors, omissions, or inaccuracies in the information, calculations, models, or valuation outputs provided through the Service. We reserve the right to correct errors, update content, or remove information at any time without prior notice and without obligation.

Market Guitar assumes no responsibility for any inability to access the Service or any linked site, or for any failures in performance, errors, omissions, interruptions, defects, delays in operation or transmission, computer viruses, or system failures, regardless of whether Market Guitar has been informed of the possibility of such damages.

Historical information, where provided, is for reference purposes only and may not reflect current conditions. We reserve the right to modify or remove content within the Service at any time without obligation to update previously available information.

Section 3 – Modifications, Pricing & Subscriptions

We may modify, suspend, discontinue, or restrict access to the Service at any time without notice.

Prices for the Service are subject to change without notice.

If the Service is offered on a subscription basis, subscription fees are billed in advance and are non-refundable except where required by applicable law.

Subscription cancellations will take effect at the end of the current billing period, and you will retain access to the Service until the end of that paid period.

We are not liable to you or any third party for any modification, suspension, discontinuation, pricing change, or interruption of the Service.

Section 4 – User Accounts & Security

If you create an account to access the Service, you are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account.

You agree to notify us immediately via our contact form if you become aware of any unauthorized use of your account or any other breach of security.

We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

Section 5 – User Content & Responsibility

You are solely responsible for all information, assumptions, data, and content you submit to the Service.

By submitting feedback, suggestions, ideas, or other materials, you grant Market Guitar a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, publish, and incorporate such materials without compensation or restriction.

You represent that any content submitted by you does not violate any applicable law or infringe upon the rights of any third party.

We reserve the right, but are not obligated, to remove content or restrict access to the Service at our discretion.

Section 6 – Prohibited Uses

You may not use the Service:

  1. for any unlawful purpose;
  2. to violate any applicable laws or regulations;
  3. to infringe or violate intellectual property rights;
  4. to submit false, misleading, or fraudulent information;
  5. to interfere with or disrupt the security, functionality, or operation of the Service;
  6. to transmit malicious software or code;
  7. to scrape, crawl, copy, or systematically extract data from the Service;
  8. to attempt to gain unauthorized access to the Service or related systems;
  9. to use the Service or its outputs as a substitute for professional financial advisory services provided to third parties without our prior written consent;
  10. to publish, broadcast, or publicly distribute Service outputs in any medium — including but not limited to video, social media, podcast, or written publication — in a manner that presents those outputs as investment recommendations, price targets, buy or sell signals, or professional financial analysis, without including the Required Disclosure set out in Section 7; or
  11. to harass, abuse, insult, harm, defame, slander, disparage, or discriminate against any individual or group, including Market Guitar Inc. personnel.

We may suspend or terminate access to the Service for violations of these Terms.

Section 7 – Public Distribution & Required Disclosures

You may share or publish outputs generated through the Service (including screenshots, model results, valuation figures, and analyses) in public-facing content such as videos, articles, social media posts, or presentations, provided that you comply with the following conditions.

Required Disclosure. Any public sharing of Service outputs must include the following disclosure, presented clearly and prominently in the same content:

“This analysis was generated using Market Guitar, a self-directed financial modelling tool. All inputs, assumptions, and figures are user-provided. This is not investment advice and should not be relied upon to make any investment or financial decision. For informational and educational purposes only.”

Brand & Endorsement. You may not use the Market Guitar name, logo, or branding in any public-facing content in a way that implies that Market Guitar endorses, recommends, validates, or has verified any investment conclusion, valuation, or financial decision. Phrases such as “Market Guitar says,” “according to Market Guitar,” or similar attributions that imply institutional recommendation are prohibited unless accompanied by the Required Disclosure and a clear statement that the conclusion is based solely on your own inputs and assumptions.

Accuracy. You are solely responsible for ensuring that any public description of the Service, its outputs, or DCF and valuation methodologies is accurate and not misleading. This includes accurately representing what a discounted cash flow model is, the assumptions it relies upon, and the limitations of any outputs generated.

We reserve the right to request removal of any public content that we reasonably believe violates this section, and to suspend or terminate your access to the Service if such content is not removed promptly following our request.

Section 8 – Third-Party Links & Services

The Service may contain links to third-party websites, tools, or services that are not owned or controlled by Market Guitar.

We are not responsible for the content, accuracy, policies, or practices of any third-party websites or services. Neither Market Guitar nor our directors, officers, employees, affiliates, agents, contractors, suppliers, or service providers have any responsibility or liability to you or any third party in connection with third-party materials or websites.

Your use of third-party services is at your own risk and subject to the terms and policies of those third parties. Complaints or questions regarding third-party products should be directed to the relevant third party.

Section 9 – Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

Section 10 – Disclaimer of Warranties; Limitation of Liability

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

We do not guarantee that the Service will be uninterrupted, secure, error-free, or free of defects.

We do not guarantee the accuracy, reliability, completeness, or usefulness of any information, calculations, models, or outputs generated through the Service.

Without limiting the foregoing, we are not liable for any financial losses, trading losses, or investment losses incurred through use of the Service.

Your use of the Service is at your sole risk.

To the maximum extent permitted by law, Market Guitar Inc., its directors, officers, employees, affiliates, contractors, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, loss of savings, loss of investment capital, or other financial losses arising from or related to your use of the Service.

Without limiting the foregoing, Market Guitar Inc., its directors, officers, employees, affiliates, contractors, and service providers shall not be liable for any loss or damage arising from errors, omissions, or inaccuracies in any content, data, calculations, models, or valuation outputs made available through the Service, regardless of whether such errors or omissions are caused by negligence or otherwise.

Where liability cannot be excluded, our total liability shall be limited to the greater of:

  1. the total amount paid by you to Market Guitar during the twelve (12) months preceding the claim; or
  2. the minimum amount permitted under applicable law.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Section 11 – Indemnification

You agree to indemnify, defend, and hold harmless Market Guitar Inc. and its directors, officers, employees, affiliates, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or related to:

  1. your use of the Service;
  2. your violation of these Terms; or
  3. your violation of any law or third-party rights.

Section 12 – Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms.

You may stop using the Service at any time.

Any provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, disclaimers, indemnities, and limitations of liability.

All obligations and liabilities incurred prior to the termination date shall survive the termination of this agreement for all purposes.

Section 13 – Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through good-faith negotiation by notifying the other party in writing of the nature of the dispute.

If the dispute cannot be resolved through negotiation within thirty (30) days of written notice, either party may pursue resolution through the courts as set out in Section 14 below.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in cases of urgent or irreparable harm.

Section 14 – Governing Law

These Terms and any disputes arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any legal proceeding arising from or relating to these Terms or the Service shall be brought exclusively in the courts located in Ontario, Canada. Each party agrees to submit to the exclusive jurisdiction of these courts and waives any objection to the exercise of jurisdiction or venue.

Section 15 – Entire Agreement

These Terms constitute the entire agreement between you and Market Guitar regarding the Service and supersede all prior agreements, communications, and understandings relating to the Service.

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.
